Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the AxisOne platform, websites, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not access or use the Service.

AxisOne is an AI-assisted research operating system for life sciences. It helps you design protocols, run readiness simulations, obtain expert review, source reagents and biospecimens, and connect with a marketplace of independent labs. AxisOne provides software and a marketplace; it does not itself perform laboratory work, and it does not provide medical, clinical, legal, or regulatory advice.

AI-generated content (including protocols, critiques, simulations, and drafts) is provided to assist qualified professionals and may contain errors or omissions. You are responsible for independently reviewing, validating, and approving any output before relying on it.

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account.

Certain tiers (for example, the Academic tier) require eligibility verification such as a valid institutional email. Providing false eligibility information may result in suspension and retroactive billing at the applicable rate.

You agree to use the Service lawfully and only for legitimate research and business purposes. You are solely responsible for the content you submit and for ensuring you have the rights and permissions needed to submit it.

• Do not upload protected health information (PHI), personally identifiable information about patients or research subjects, or other regulated personal data into prompts, documents, or uploads. The Service is not configured as a HIPAA-covered system.
• Do not submit content that infringes intellectual property, violates export controls, or breaches any confidentiality or contractual obligation you owe to a third party.
• Do not misuse the Service to develop, design, or facilitate dangerous, illegal, or harmful activities.
• Do not attempt to disrupt, reverse engineer, scrape at scale, or gain unauthorized access to the Service or its underlying systems.

AxisOne connects researchers with independent third-party labs and expert reviewers. These third parties are not employees or agents of AxisOne. AxisOne facilitates introductions, quotes, payments, and communication, but it does not guarantee the quality, timeliness, results, or regulatory status of any third-party service. Engagements with labs and experts are subject to any additional terms agreed between you and that third party.

Quotes, turnaround estimates, and capability information are provided by third parties or derived from their inputs and may change. You are responsible for diligence appropriate to your use case.

Paid plans, AI credits, add-ons, and marketplace fees are described on our pricing pages and are incorporated into these Terms by reference. Subscriptions renew automatically until cancelled. AI credits are consumed when an AI action is initiated and are generally not refundable, including where an action fails after credits are spent.

A marketplace fee applies to transactions facilitated through the Service. Taxes, where applicable, are your responsibility. We may change pricing prospectively; existing subscriptions are handled in accordance with the terms in effect at purchase unless otherwise stated.

As between you and AxisOne, you retain ownership of the research inputs and content you submit. You grant AxisOne a limited license to process that content to operate and improve the Service consistent with our Privacy Policy. AxisOne and its licensors retain all rights in the Service, including its software, models, and brand.

Subject to your compliance with these Terms and payment of applicable fees, you may use the outputs you generate for your internal research and business purposes.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. AxisOne does not warrant that outputs are accurate, complete, or suitable for any particular purpose, and does not make any regulatory clearance claims about protocols, packages, or reports generated through the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AxisOne AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO AxisOne FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or where we discontinue the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms with a new “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
